Terms of Service

1. Agreement to Terms

By accessing or using RepairStack ("the Service"), operated by Complete Electric Motor Repair Ltd. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

RepairStack is a software-as-a-service (SaaS) platform designed for industrial motor repair shops. The Service includes job management, AI-powered pricing, customer portals, dashboards, and related tools. We also offer professional services including expert consultations, shop assessments, and pilot programs.

3. Accounts and Registration

To use certain features of the Service, you may need to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Payment Terms

Payments for consultations, assessments, pilot programs, and subscriptions are processed through Stripe. All prices are listed in USD unless otherwise stated. Refunds are governed by our Refund Policy.

For subscription services, billing occurs on a recurring basis as specified in your service agreement. You may cancel your subscription with 30 days written notice.

5. Your Data

You retain ownership of all data you upload to or generate through the Service ("Your Data"). We do not claim ownership of Your Data. We will not share Your Data with other customers or use it to train models for other customers.

You grant us a limited license to use Your Data solely for the purpose of providing and improving the Service for your account.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute access to the Service without our written consent
• Upload malicious code or content that could harm the Service

7. Intellectual Property

The Service, including its software, design, features, documentation, and branding, is owned by Complete Electric Motor Repair Ltd. and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

8. AI-Generated Pricing and Recommendations

The Service includes AI-powered pricing suggestions and business recommendations. These are provided as decision-support tools and are not guarantees of outcomes. You are responsible for reviewing and approving all pricing decisions, estimates, and business actions taken based on the Service.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime. We will make reasonable efforts to notify you of planned maintenance in advance.

10. Limitation of Liability

To the maximum extent permitted by law, Complete Electric Motor Repair Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Complete Electric Motor Repair Ltd., its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

12. Termination

Either party may terminate the service relationship with 30 days written notice. We may suspend or terminate your access immediately if you violate these terms. Upon termination, we will provide you with a reasonable period to export Your Data.

13. Governing Law

These terms are governed by the laws of the Province of Alberta, Canada. Any disputes arising from these terms or the Service shall be resolved in the courts of Calgary, Alberta.

14. Changes to Terms

We may update these terms from time to time. We will notify active customers of material changes by email. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
